Section 1202 · Qualified Small Business Stock

Pay no federal tax on the sale of your company, up to $10M.

Each shareholder of a qualified small business can exclude up to $10 million of federal gain when they sell their stock, and most states follow. Your accountant may have told you an MSP or a software company can't qualify. That is usually wrong, and the mistake is expensive.
